THE ROLE & WHY IT EXISTS.

We've built companies ourselves. We understand the early-stage journey, the pace, the uncertainty, and what it takes to build something from nothing. That shared experience is how we build meaningful relationships with founders, and it's the same mindset we bring to running the fund. We want our legal and compliance processes to match our values: fast and founder-friendly.

We're looking for a sharp, thoughtful legal professional who wants to be part of that, not just advising from the sidelines.

The role

You'll be the legal and compliance lead at Pale blue dot, working closely with the General Partners and Operations on everything from deal structuring to fund compliance. This is a broad, hands-on role on a small, ambitious team — no two weeks look the same.

WHAT YOU WILL DO.

Investment & Transactions

• Lead legal due diligence on new deals, including writing DD reports.

• Draft, update, and negotiate term sheets for new investments.

• Negotiate and review all investment documentation for new and follow-on deals.

• Advise on legal, regulatory, and tax implications of new deals, follow-ons, and exits.

• Project-manage the legal workstream on exits.

• Support the investment team on the investment process log.

• Assist portfolio companies with legal and regulatory guidance.

Fund & Corporate Governance

• Manage LP transfers and corporate documentation, including board meeting minutes for the GP structure.

• Draft and review service, supply, and consultancy agreements.

• Ensure all legal documentation and current cap tables are in place across the portfolio.

• Support fund-related legal questions (LPA, side letters, investor agreements).

• Ensure the fund structure aligns correctly across all entities.

• Support cap table, valuation, and ownership calculations in portfolio investments.

• Review quarterly reports (ownership, forms of securities, etc.).

• Support LPAC meetings and LP communications on legal, regulatory, and administrative matters.

• Handle privacy and personal data matters.

• Lead on all company legal fund matters.

• Oversee insurance yearly renewal.
  
  KYC & AML

• Run founder KYC on new deals.

• Manage investor KYC for LPs; instruct and support our fund administrator.

• AML reporting to Finansinspektionen and FCA; support Head of Finance and fund administrator.

• Run the annual AML internal workshop and general risk assessment.
  
  
  Compliance

• Ensure compliance with LPA, side letters, and all necessary documentation.

• Review and update compliance policy, code of conduct, conflicts of interest policy, and employment contracts.

• Run CoI training and maintain the personal trading log and conflict of interest reports.

• Liaise with external counsel on foreign tax and regulatory questions and reporting.

• Lead the annual risk workshop and produce the risk management report.

• Support SFDR reporting.

• Proactively identify compliance risks and propose solutions before they become problems.

• Stay current on regulatory developments relevant to the fund across all jurisdictions.
  

Operations & Wider Team

• Contribute to internal projects and broader team initiatives.

• Roll up your sleeves when needed — we're a small team, and everyone pitches in.

ABOUT YOU.

💡The requirements below are a guide. Our own backgrounds span the humanities to tech, and we've built multiple companies across Europe and the US. Background

• Law degree, with experience from a reputable law firm or in-house legal team.

• At least 3 years focused on M&A, capital markets, venture transactions, or corporate governance.

• Experience with fund compliance, regulatory frameworks, or AML/KYC in a financial services or VC context.

• Prior in-house experience is a plus, not a requirement.

• Familiarity with early-stage startups — the market, the pace, and what founders actually need.

• Fluent in English (written and spoken); Swedish is a bonus.
  

Experience we value

• Hands-on experience with early-stage funding instruments: convertible notes, SEIS/EIS, ESOPs, founder vesting, cap tables, secondary transactions.

• Having founded or worked at an early-stage startup.

• Existing network in the European startup ecosystem.

• International background: living and working across multiple countries or organizations.

• Comfortable with modern work tools: Google Drive, Notion, Slack, Zoom — and eager to adopt new ones.
  

AI-savvy

We use AI tools actively across the team — to move faster, think more clearly, and free up time for higher-value work. We expect you to be genuinely comfortable with AI in your workflow, using tools such as Claude, ChatGPT, or specialist legal AI platforms for drafting, research, contract review, and due diligence. We're not looking for an expert, but we do expect real curiosity and a willingness to keep learning as this space evolves.

Character

• Structured and diligent — you want things in order, sweat the details, and your colleagues sleep better when you've reviewed something.

• Clear communicator — you write and speak plainly, both internally (in English) and externally.

• Problem solver — you love fixing broken processes and building better ones from scratch.

As Pale blue dot grows, the legal and compliance function will expand in scope, complexity, and influence. This role is built around legal and compliance expertise; it is not planned to become an investment role, but it will grow meaningfully alongside the fund.
